2. Scope

These terms apply to all contracts between QSO Solution UG (limited liability), Berliner Str. 135, 15569 Woltersdorf, represented by Managing Director Maik Neumann (Provider), and entrepreneurs under §14 BGB (Customer) regarding the use of the 'Quick Scan Order' software.

3. Subject Matter

The contract concerns the paid provision of 'Quick Scan Order' software for digital order submission under a subscription-based SaaS model. The software may be customized but retains its technical foundation. Support, hosting, and training can be included.

4. Conclusion of Contract

The contract is formed upon written or electronic order by the Customer and confirmation by the Provider. There is no entitlement to conclude a contract. Offers are non-binding.

5. Provider's Services

The Provider makes the software available online and ensures 99% average monthly availability. Support, updates, and maintenance are offered during business hours. Specific services are defined in the contract.

6. Prices and Payment Terms

Prices depend on the subscription model and are defined in the contract. Monthly or yearly prepayment is possible. Payments are due within 14 days of invoicing without deductions.

7. Customer Responsibilities

The Customer must provide required hardware, internet, and meet system requirements. Credentials must be confidential. Any process changes affecting software use must be communicated promptly.

8. Usage Rights

The Customer receives a non-transferable, non-exclusive right to use 'Quick Scan Order' during the contract period. Redistribution or sublicensing is prohibited.

9. Third-Party Cooperation

The Provider may use subcontractors and third-party services. The Provider remains the sole contractual partner.

10. Liability

The Provider is liable without limitation for intent and gross negligence, and for injury to life, body, or health. For slight negligence of essential duties, liability is limited to foreseeable damages. Indirect damages (e.g., lost profits) are excluded without regular backups. Liability for initial defects without fault (§536a BGB) is excluded.

11. Data Protection

12. Duration and Termination

Minimum term is 12 months. It auto-renews unless terminated 3 months before period end. Extraordinary termination remains possible.

13. Final Provisions

German law applies. Jurisdiction is the Provider’s registered office. Invalid clauses do not affect the rest of the terms.

3. Purposes and Legal Bases of Data Processing

The app “Quick Scan Order” is used for transmitting and managing orders in the B2B sector. The following personal data is processed:

This data is entered manually by the operator after customer consent.

4.Source of the Data

Data is entered manually by QSO Solution UG upon customer consent. App users do not enter data themselves.

5. Recipients of Personal Data

Data is processed internally by authorized QSO Solution UG personnel and may be shared with:

Hosting provider: STRATO GmbH, Germany
Technical services: Stripe Payments Europe, seven communications GmbH & Co. KG, Apple Inc., Google LLC, Google Germany GmbH

Transfers to third countries are only made with appropriate safeguards (Art. 44 ff. GDPR).

6. Data Retention Period

Personal data is stored as long as needed for the stated purposes or legal requirements, after which it is deleted or anonymized.

Data subjects have the right to:

We implement appropriate technical and organizational measures (e.g., SSL encryption, access controls, backups, logging).

Providing data is voluntary. However, using the app fully is not possible without it.

No automated decision-making or profiling takes place (Art. 22 GDPR).

11. Changes to This Privacy Policy

This policy may be updated due to legal or technical changes. The latest version is available within the app.
